Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Vice Robotics LLC (“Vice Robotics,” “we,” “us,” or “our”). They govern the Amelia Financial (“Amelia”) app for iPhone and iPad, the website, and related services (the “Service”). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility and accounts

You must be able to form a binding contract in your jurisdiction. The Service is not directed to children under 13. You are responsible for accurate account information, the security of your sign-in method and device, and activity under your account. Notify us promptly if you suspect unauthorized access.

The service

Amelia lets you scan or import receipts, review and correct their items and amounts, keep them on your device, split them item by item, and export your data. Local receipt capture, correction, storage, and export are free. Creating a new split, folders, and cloud copy require an active Pro or Max trial or subscription. Cloud copy is optional. Merchant receipt delivery (claim links, NFC and QR claims, the App Clip, and Square or Stripe merchant receipts) and loyalty are not yet available; the terms under Not yet available apply only if they are enabled.

Availability can vary by device, region, and app version. Amelia is not a bank, card network, wallet, money transmitter, payment processor, tax adviser, or accounting service. We do not authorize charges, route funds, hold money, or process or store full card credentials. When you choose to open a payment app from a split, that app and its terms govern any payment you make.

Acceptable use

• Use Amelia only for lawful purposes and in line with these Terms.
• Do not interfere with, probe, overload, bypass security for, or gain unauthorized access to the Service or another person’s data.
• Do not misuse, replay, scrape, sell, or distribute receipts, settle-up or invite links, or sharing features.
• Do not upload unlawful content, impersonate another person, or use information you are not authorized to access or share.

Your content and sharing

You retain ownership of information you create or import. You grant Vice Robotics a limited license to host, process, reproduce, and transmit that information only as needed to provide, secure, and support the Service. You represent that you have the right to provide and share the content. You are responsible for recipients and destinations you choose when exporting or sharing.

Receipts and splits

Amelia reads receipts on your device, and what it reads can be incomplete or incorrect. Check the items and amounts before you save or share a receipt or split. Exchange rates shown in a split are approximate daily rates from a third-party source. Amelia is not a substitute for an official merchant receipt, bank statement, tax record, or proof of payment. The merchant controls the underlying purchase, returns, refunds, charge corrections, and warranties. Contact the merchant or your payment provider for those matters.

Subscriptions & payments

Amelia Pro and Amelia Max are auto-renewing subscriptions sold through the App Store, monthly or annually. The app shows the price, billing period, and any introductory offer Apple makes available before you subscribe. Purchases are processed by Apple and are subject to Apple’s payment, renewal, cancellation, and refund terms. A subscription renews until you cancel it in your Apple account settings. We do not receive your full payment credentials.

To ask for a refund, open Plans in the app and choose Request a refund when it’s shown; it opens Apple’s refund request, and Apple decides App Store refunds. For any other question about an Amelia subscription or a refund, email support with the word “Refund” in the subject: we acknowledge it within 2 business days and reply with a decision or next step within 5 business days.

If your plan ends, everything already on your device stays yours: you can keep viewing, correcting, and exporting existing receipts and completed splits, while new paid-only work requires Pro or Max. Your cloud copy becomes read-only and is erased 30 days after your paid period ends. Nothing in these Terms limits mandatory consumer rights.

Intellectual property

Amelia, its design, software, and Vice Robotics content are owned by Vice Robotics or its licensors and protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service on devices you own or control. Apple and other licensors retain their respective rights.

Privacy and third-party services

Our Privacy Policy explains how information is handled. The Service can link to or interoperate with Apple, Google, our sign-in provider, payment apps you choose to open, and other third parties. Their products and terms are separate from ours, and we are not responsible for services we do not control.

Suspension and termination

You may stop using Amelia at any time and may delete an eligible signed-in account through Account → Privacy & consent → Data controls & deletion. We may restrict or terminate access when reasonably necessary to protect users or the Service, respond to legal requirements, address fraud or security risk, or enforce these Terms. Provisions that by their nature should survive termination will survive.

Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Vice Robotics disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation or the accuracy, availability, or completeness of receipt, scan, split, exchange-rate, or export information. Some jurisdictions do not allow certain disclaimers, so they may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Vice Robotics and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or business opportunity. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

Not yet available

These features are not part of the current Service. The terms in this section apply only if we enable them.

• Merchant receipts and claim links — receipts delivered by a merchant or its service providers (such as Square or Stripe) through a claim link, QR code, NFC tap, or the Amelia App Clip. Records can be delayed, incomplete, duplicated, or incorrect. Do not misuse, replay, scrape, sell, or distribute claim links.
• Loyalty — merchant-provided loyalty information. The merchant controls its loyalty program, including enrollment, balances, expirations, and rewards.

Changes

We may update these Terms as the Service changes. We will post updated Terms with a new effective date and provide additional notice when required by law. Changes apply prospectively. If you do not agree to updated Terms, stop using the Service.

Governing law

Applicable federal law and the law of the state where Vice Robotics has its principal place of business govern these Terms, without regard to conflict-of-laws rules. A dispute may be brought in any court with lawful jurisdiction. Nothing in these Terms waives non-waivable consumer rights or a forum available under applicable law.
